Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Accord LTE platform (the "Service") operated by FNVi Ltd ("FNVi", "we", "us", or "our"), a company registered in the United Kingdom.

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

2. Definitions

  • "Service" refers to the Accord LTE platform, including the website at accordlte.com, web application, mobile interfaces, APIs, and all related services provided by FNVi Ltd.
  • "User" or "you" refers to any individual or entity that accesses or uses the Service.
  • "Account" refers to the unique account created for you to access our Service.
  • "Workspace" refers to a company or organisational account within the Service that may contain multiple projects.
  • "Project" refers to an individual project workspace within a Workspace, containing items, documents, inspections, and other project data.
  • "Content" refers to any data, text, documents, images, files, or other materials uploaded, submitted, or generated through the Service.
  • "Subscription" refers to the paid access plan you have selected for the Service.

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information, including your name, email address, and a secure password. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must be at least 18 years of age to create an account. By registering, you represent that you meet this age requirement.

You agree to notify us immediately of any unauthorised use of your account or any other breach of security. FNVi will not be liable for any loss or damage arising from your failure to safeguard your account credentials.

We reserve the right to suspend or terminate accounts that contain inaccurate information, violate these Terms, or are inactive for an extended period, with reasonable notice where practicable.

4. Service Description

Accord LTE is a construction commissioning and project management platform that provides tools for document management, inspection tracking, item management, punch and defect tracking, certification management, health and safety reporting, dashboards and analytics, and team collaboration.

The Service is provided on a software-as-a-service (SaaS) basis. We may update, modify, or enhance the features and functionality of the Service from time to time. We will endeavour to provide reasonable notice of any material changes that may affect your use of the Service.

5. Subscriptions and Payments

5.1 Plans and Pricing

The Service is available under several subscription plans: a Free Trial, a Pay-Per-Item plan, and an Enterprise plan. Details of current pricing and plan features are available on our website and may be updated from time to time.

The Free Trial provides limited access for 14 days with up to 100 items and 5 users. No credit card is required for the Free Trial. At the end of the trial period, you must subscribe to a paid plan to continue using the Service.

5.2 Billing and Payment

Paid subscriptions are billed in advance on a monthly or annual basis, depending on the plan you select. Payment is processed through our third-party payment provider, Stripe.

You agree to provide accurate and complete billing information and to promptly update such information if it changes. You authorise us to charge the payment method on file for all fees incurred under your subscription.

All fees are quoted in the currency specified at the time of purchase (GBP, USD, or EUR) and are exclusive of applicable taxes unless stated otherwise.

5.3 Upgrades and Downgrades

You may upgrade your subscription plan at any time. Upgrades take effect immediately and you will be charged the pro-rated difference for the remainder of your billing period.

Downgrades take effect at the end of your current billing period. If your downgraded plan has lower limits (e.g., fewer items or users), you are responsible for ensuring your usage falls within those limits before the downgrade takes effect.

5.4 Cancellation and Refunds

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period, and you will retain access to the Service until that date.

We do not provide refunds for partial billing periods. If you believe you have been charged in error, please contact our support team within 30 days of the charge.

6. User Content

6.1 Ownership

You retain full ownership of all Content you upload, create, or submit through the Service. FNVi does not claim any intellectual property rights over your Content.

6.2 Licence Grant

By uploading Content to the Service, you grant FNVi a limited, non-exclusive, royalty-free, worldwide licence to store, process, display, and transmit your Content solely for the purpose of providing and improving the Service. This licence terminates when you delete your Content or close your account.

6.3 Responsibility

You are solely responsible for the Content you upload to the Service. You represent and warrant that you have all necessary rights, licences, and permissions to upload and share such Content and that your Content does not violate any applicable laws, regulations, or third-party rights.

You must not upload Content that is unlawful, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable.

7. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service in any way that violates any applicable local, national, or international law or regulation.
  • Attempt to gain unauthorised access to any part of the Service, other accounts, computer systems, or networks connected to the Service.
  • Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure.
  • Use the Service to transmit any viruses, malware, or other harmful code.
  • Use automated means (bots, scrapers, crawlers) to access or collect data from the Service without our prior written consent.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
  • Resell, sublicence, or redistribute the Service or any part thereof without our prior written consent.
  • Use the Service to store or process data subject to specific regulatory requirements (e.g., health records under HIPAA) unless you have obtained prior written agreement from FNVi.

8. Intellectual Property

The Service, including its original content (excluding User Content), features, functionality, design, logos, trademarks, and underlying technology, is and remains the exclusive property of FNVi Ltd and its licensors.

The Service is protected by copyright, trademark, and other intellectual property laws of the United Kingdom and international treaties. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

The FNVi and Accord LTE names, logos, and all related names, logos, product and service names, designs, and slogans are trademarks of FNVi Ltd. You must not use such marks without our prior written permission.

9. Data Protection

We process personal data in accordance with our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

Where you use the Service to process personal data of third parties (e.g., team members, contractors), you act as a data controller and FNVi acts as a data processor. You are responsible for ensuring that your use of the Service complies with applicable data protection laws, including obtaining any necessary consents.

For Enterprise customers, we offer a Data Processing Agreement (DPA) that provides additional safeguards for personal data processing. Contact our sales team for details.

10. Service Availability

We aim to maintain 99.9% uptime for the Service. However, we do not guarantee uninterrupted access and the Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our reasonable control.

We will endeavour to provide advance notice of planned maintenance windows. Emergency maintenance to address security vulnerabilities or critical issues may be performed without prior notice.

We are not liable for any loss or damage arising from Service unavailability, whether planned or unplanned.

11. Limitation of Liability

To the maximum extent permitted by applicable law, FNVi Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, arising out of or in connection with your use of the Service.

Our total aggregate liability for any claims arising out of or relating to these Terms or the Service shall not exceed the total amount paid by you to FNVi during the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be lawfully limited or excluded.

12. Indemnification

You agree to indemnify, defend, and hold harmless FNVi Ltd, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, your Content, or your violation of any rights of a third party.

13. Termination

You may terminate your account at any time by deleting it from your account settings or by contacting our support team.

We may suspend or terminate your access to the Service immediately, without prior notice or liability, if you breach these Terms, engage in conduct that is harmful to other users or the Service, or fail to pay applicable fees.

Upon termination, your right to use the Service ceases immediately. Your data will be retained for 30 days following termination, during which time you may request an export of your data. After this period, your data will be permanently deleted.

Sections of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 6 (User Content), 8 (Intellectual Property), 11 (Limitation of Liability), 12 (Indemnification), and 15 (Governing Law).

14. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide at least 30 days' notice by email or by posting a notice on the Service before the changes take effect.

Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Service and cancel your account.

15. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Any disputes arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Before initiating any formal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of at least 30 days.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy and any applicable Data Processing Agreement, constitute the entire agreement between you and FNVi regarding the Service and supersede all prior agreements, understandings, and representations.

16.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16.3 Waiver

The failure of FNVi to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

16.5 Force Majeure

FNVi shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, strikes, government actions, or failure of third-party infrastructure.
